AGREEMENT
PURCHASE
OF GOODS: After Network Pro Marketing approves Dealer’s credit application,
NPM will ship to Dealer, at NPM established prices, all goods (The “Goods”)
ordered by Dealer, subject to availability, NPM is not obligated to ship goods
if the price thereof, when added to any amounts for which Dealer is indebted to
NPM, exceeds Dealer’s credit is otherwise in default hereunder.
PRICES:
The purchase price for the Goods is set forth on the NPM Dealer Price lists (a
copy of which shall be provided to Dealer from time to time on request). Prices
are subject to change at any time without notice and are F.O.B. Playa del Rey,
California.
PAYMENT:
Dealer agrees to pay NPM for all Goods s per agreed terms. A late payment charge
of 1 1/2% per month on the outstanding balance will be imposed on all amounts
not paid within 26 days of delivery and Dealer agrees to pay such late charges
immediately upon demand.
TITLE:
SECURITY INTEREST: NPM shall retain title to all Goods until NPM receives
payment in full. Dealer hereby grants NPM a security interest in all Goods
shipped to Dealer and the proceeds thereof until Dealer pays for such Goods in
full. Where payment for the Goods is by check. NPM shall retain a security
interest in the Goods until all funds are collected. Dealer shall execute within
10 days of demand by NPM all documents required for NPM to perfect its security
interest in the Goods.
NON-CANCELABLE:
All orders are non-cancelable except with the prior consent of NPM.
DEFAULT:
If Dealer fails to pay for any goods, or otherwise fails to follow the terms of
this Agreement or proceedings are started by or against Dealer under any
bankruptcy or insolvency law, the NPM may, at this option, terminate this
Agreement without notice to Dealer and Exercise all rights and remedies
available at law or equity. IN the event of any default. Dealer shall be
responsible for all expenses incurred by NPM including attorney’s fees. NPM
may accept late payments or partial payments of payments marked “payment in
full” without losing any of NPM’s right under this Agreement or otherwise.
TERMINATION:
Either part may cancel this Agreement on 10 days written notice to the other.
Any such cancellation shall not be
effectives to Good’s shipped by NPM prior to effective date of such
cancellation.
FORCE
MAJUERE: NPM shall not be responsible
for
any damage or loss caused by failure to make deliveries due to labor, shortage,
strikes, unavailability of Goods or any other condition beyond NPM’s control.
In no event shall NPM be liable for any incidental, consequential, exemplary or
punitive damages arising out of NPM’s failure to deliver Goods for any reason
whatsoever.
MODIFICATION:
NPM may change this agreement of
any of its items on 10 days written notive to Dealer
MISCELLANEOUS:
This Agreement is governed by the laws of the State of California (without
regard to conflict or laws). All notices required hereunder shall be given in
writing sent by certified mail to the respective addresses set forth below and
shall be effective when mailed. This Agreement may not be modified except in
writing and constitutes the entire agreement of the parties.
